1. Agreement and eligibility
These terms are between you and Sidemarket LLC, a Delaware limited liability company (“Mecan”, “we”, “us”). By using Mecan, you agree to them. If you do not agree, do not use the service. Our Privacy policy explains how we handle personal information.
You must be legally able to enter this agreement or have the authorization of a parent or legal guardian where required by law. Subscriptions are for business use only, including use by sole traders. By subscribing, you confirm that you are acting for business purposes and have authority to bind the subscribing business. Mecan does not impose a separate minimum age for accounts or bookings; the booked service may have its own eligibility requirements.
2. The service and your account
Mecan provides business tools for online bookings, Instagram replies, and booking analytics. Features depend on your plan and connected services. Products marked “coming soon” are not included until made available.
Keep your account details accurate and protect your email account, sign-in links, and connected accounts. Notify contact@mecan.io promptly of unauthorized access. You are responsible for authorized activity, business information, and settings in your account.
The account and subscription provisions apply to the business subscribing to Mecan, not to customers merely using its booking page. Mecan supplies the software; the listed business supplies the booked service. The business is responsible for service quality, availability, prices, customer notices, and its cancellation and refund policies.
3. Trials, payments, and cancellation
Prices, currency, taxes, billing interval, and included limits are shown before purchase. Prices exclude applicable taxes unless stated otherwise. Sidemarket LLC provides and sells Mecan subscriptions; Stripe processes subscription payments on our behalf. Subscriptions renew automatically and you authorize recurring charges each billing period until cancellation. Eligible new subscribers can start a 14-day trial with a payment method; it converts to the displayed paid subscription unless canceled before it ends.
Manage or cancel your subscription through Billing and its Stripe customer portal before the next charge. For paid subscriptions, cancellation stops renewal and takes effect at the end of the current billing period; access continues until then. Cancel during the trial to avoid the first subscription charge. Plan changes may trigger prorated charges or end a trial, as disclosed before confirmation. Failed payments may restrict access.
We do not offer discretionary refunds for unused time or partial billing periods. Mandatory cancellation, withdrawal, and refund rights remain unaffected. We will notify you of price changes before renewal so you can cancel before they apply.
4. Acceptable use
Use Mecan lawfully and only with permission to access the accounts and information you connect. Do not:
- Submit illegal, infringing, abusive, or exploitative content, including child sexual abuse material, threats, or harassment.
- Send spam, impersonate others, violate privacy, or send messages without legally required permission.
- Bypass security or usage limits, disrupt the service, scrape private data, or reverse engineer software except where law permits.
- Use AI for high-risk decisions about people, or submit sensitive records the service is not designed to handle.
We may investigate misuse and restrict access proportionately to protect the service, users, and third parties.
5. Your content and customer data
You retain your rights in the information, instructions, and other content you submit. You grant us a limited, non-exclusive license to store, process, transmit, and display it as needed to provide the service, including through our providers and integrations. This includes publishing business information you choose to make public and sending replies under your settings.
You must have the rights and lawful basis to provide customer information, connect accounts, and authorize messages. Give customers appropriate notices and obtain required permissions. Our processing of customer data on your behalf is governed by [DATA PROCESSING AGREEMENT LINK]. Retention and AI data practices are described in the Privacy policy.
6. Generated output
As between you and Mecan, you retain your rights in output and we assign to you any rights we may have in it, to the extent permitted by law. You may use it commercially, subject to these terms and third-party rights. Output may be similar to other users’ output, may infringe rights, and may not qualify for copyright protection.
7. AI limitations
AI produces probabilistic output and can invent facts, misinterpret messages, or give inaccurate replies. Verify output before relying on or publishing it. When you enable automatic replies, you authorize messages to be sent without individual approval; review your rules, monitor conversations, and disable automation when needed. Mecan does not provide professional advice or guarantee business outcomes.
8. Connected services
Mecan relies on services such as Stripe, Meta/Instagram, Zernio, Google data services, and messaging providers. AI requests are routed through OpenRouter to providers including OpenAI and DeepSeek. Their applicable usage restrictions govern use of those features. Their privacy information is available from OpenRouter, OpenAI, and DeepSeek.
You are responsible for complying with terms governing your connected accounts. Third parties may change or withdraw access, affecting features; we do not control their availability.
9. Availability and our rights
We may maintain, update, or change the service. Unless separately agreed in writing, there is no uptime or service-credit commitment. We will give reasonable notice of material reductions to paid services where practicable and honor applicable refund rights.
Mecan and its licensors own the software, branding, design, and other service materials, excluding your content and rights in output. Your subscription grants access to the service, not ownership of it.
10. Suspension and termination
You may stop using Mecan, cancel renewal in Billing, and request account closure at contact@mecan.io. We may suspend or terminate access for material breaches, nonpayment, legal requirements, or serious security risks. Where practicable, we will give notice and an opportunity to resolve the issue. Contact support about retrieving your data before closure; retention follows the Privacy policy.
Termination does not erase accrued payment obligations or provisions intended to survive, including ownership, liability, and dispute terms.
11. Warranties and liability
To the extent permitted by law, the service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not promise uninterrupted, error-free, or completely secure operation, or accurate AI output.
To the extent permitted by law, neither party is liable for indirect or consequential losses, lost profits, or lost business arising from this agreement. Our total liability is limited to [LIABILITY CAP AND MEASUREMENT PERIOD]. These limits do not exclude fraud, willful misconduct, or any liability that cannot lawfully be limited.
Some jurisdictions do not allow particular warranty exclusions or liability limits; those exclusions or limits may not apply to you. Your mandatory statutory rights remain intact.
12. Business indemnity
If you use Mecan for a business, to the extent permitted by law, you will cover reasonable third-party claims, damages, and legal costs caused by your unlawful content, misuse of output, or material breach of these terms or third-party rights. This excludes claims caused by our breach or wrongdoing. We will promptly notify you, allow you to control the defense, and reasonably cooperate; settlements imposing obligations on us require our consent.
13. Governing law and disputes
The laws of [GOVERNING JURISDICTION] govern these terms, with disputes heard in [COURTS AND LOCATION]. Mandatory protections and court access available to consumers in their home jurisdiction remain unaffected. You can contact contact@mecan.io so we can try to resolve a concern informally; this does not prevent you from exercising legal rights or meeting a filing deadline.
If a provision is unenforceable, the remainder continues to apply. Failure to enforce a provision is not a waiver. These terms and any applicable order or signed agreement form the agreement for the service; a signed agreement controls where it expressly conflicts.
14. Changes and contact
We may update these terms and will post the revised date here. For material changes, we will give advance email or in-product notice where practicable and obtain agreement where required. Continued use after the effective date constitutes acceptance to the extent permitted by law. If you disagree, stop using the service and cancel renewal.
